First Corporate Solutions Welcomes Guest Speaker Darrell W. Pierce for Webinar on Upcoming Changes to Revised Article 9 of the Uniform Commercial Code

Sacramento, CA (November 03, 2011) - First Corporate Solutions (FCS), a global UCC and corporate risk management and due diligence firm, announced that on November 08, 2011 they will be hosting a webinar event, "Impacts of the Upcoming Changes to Revised Article 9."

First Corporate Solutions' guest speaker for the event is attorney Darrell W. Pierce of Dykema Law Group. Mr. Pierce is a respected UCC scholar who served as a member of the Article 9 Study Committee for the Permanent Editorial Board for the Uniform Commercial Code, as Chair of the Article 9 Filing Project and as a primary drafter of the International Association of Commercial Administrators' Model Administrative Rules for Article 9 filing offices. He is a frequent lecturer and writer regarding UCC matters.

After nearly a decade of experience with the 1998 version of Article 9, the sponsors of the Uniform Commercial Code formed a Joint Review Committee (JRC) to address some issues that have arisen in the case law and in practice. Article 9 is complex and some technical issues and questions needed to be addressed. The question of how to handle individual debtor names on financing statements and searches has been sufficiently troublesome for secured parties that they began to demand a statutory "fix." As states began to consider, and in a few cases adopt, non-uniform changes regarding individual debtor names, the Code sponsors determined that a uniform approach was warranted and formed the JRC. The JRC proposed uniform amendments in 2010 that were approved by the Code's sponsors and are now in the process of being enacted by the States, with the goal of uniform enactment by, and uniform effectiveness on, July 1, 2013.

This intermediate-level presentation, aimed at legal professionals, asset-based lenders and factors will explain the upcoming changes to Revised Article 9 and address their impacts on best practices.

First Corporate Solutions Announces Enhancements to Online Searching, Filing and Portfolio Management System

Sacramento, CA (October 11, 2011) - First Corporate Solutions (FCS), a global UCC and corporate risk management and due diligence firm announced today that they have released several enhancements to their online searching, filing and portfolio management system. These changes were designed to provide online users increased flexibility when using the FCS system to satisfy their due diligence requirements.

In their filing and portfolio management system, File 'n Track, FCS now offers a copy filings feature that enables users to duplicate a UCC1 Financing Statement from their existing filing portfolio. Users can copy filings from their preparation queue, where in process documents are maintained pending user completion, or from recorded status where completed, filed documents are housed.

The copy filings feature reduces redundant data entry and helps customers streamline their filing process. Once a user copies a filing, he or she can make minor adjustments to the record to customize it for their specific transactional needs. This feature is particularly useful for high-volume UCC filers and those who manage multi-jurisdictional filing projects.

FCS has also made two important enhancements to their UCC and lien searching and document image system. A longtime leader in innovative state-specific search solutions, FCS now offers customers flexible Delaware follow up search options. First, customers search the FCS online system using broad-based search logic to reveal name variations, and then select from one of three follow up search options to supplement the online data.

Lastly, FCS has released Connecticut to their online search system. Users can search their reliable state-direct Connecticut data, complemented by an expansive library of clear document images. The FCS data package for Connecticut also includes Federal Tax Liens to alert searchers to IRS liens against their target.
